TERMS AND CONDITIONS

1. Contract Acceptance

By approving an estimate in QuickBooks, paying any project-related invoice, or submitting the required deposit, the Client acknowledges and agrees to all Moontower Signage & Branding Terms & Conditions. Approval or payment constitutes a binding contract for the scope of work described in the estimate, proposal, invoice, or related documents.

2. Scope of Work

Moontower will fabricate and/or install the project according to the approved drawings, artwork, materials, and specifications provided to and approved by the Client. Any revisions to size, materials, colors, finishes, mounting methods, or installation locations may require a written Change Order and may result in additional charges and schedule changes.

3. Pricing & Payment Terms

  • A 60% deposit is required to begin design, permitting, material ordering, scheduling, or fabrication.

  • The remaining 40% balance is due upon completion of fabrication, invoiced as Net 15.

  • Moontower retains ownership and title to all products until the project is paid in full.

  • Late payments accrue a 1.5% monthly finance charge (18% APR).

  • Credit card payments must be requested in advance and incur a 3% processing fee.

  • Moontower may suspend work or delay installation if payments are overdue.

4. Additional Charges

Additional charges may apply if any of the following conditions occur:

  • Restricted, unsafe, or inaccessible installation locations

  • Structural, underground, or electrical obstructions (rock, utilities, conduits, pipes, steel, unexpected substrates, etc.)

  • Extra equipment required (lifts, cranes, barricades, road/sidewalk closures)

  • Permit fees, variance requests, engineering, or additional documentation

  • Removal of existing signs

  • Additional surveys or site visits

  • Rework due to incompatible or failing paint, coatings, or substrates

  • Client delays affecting scheduling, production, or installation

  • Design revisions, material changes, or added scope after approval

Moontower will communicate additional charges when identified.

5. Electrical Requirements

The Client must provide primary electrical power within six (6) feet of each sign location, including breakers, timers, photocells, and controls required by local building codes.
Moontower’s responsibility ends at the sign's internal power supply.

Electrical issues outside the sign—including timers, panels, disconnects, conduits, circuits, building wiring, or insufficient power—are not covered under warranty and are not grounds for withholding payment.

6. Private Utilities & Site Conditions

The Client is responsible for identifying and clearly marking all private utilities and underground obstructions at the installation site, including but not limited to:

  • Irrigation and sprinkler systems

  • Low-voltage lighting

  • Communication lines (fiber, data, phone, internet)

  • Landscape lighting

  • Private electrical conduits

  • Gas lines not tracked by 811

  • Any other underground or hidden infrastructure not located by public utility marking services

Moontower is not responsible for damage to unmarked or improperly marked private utilities or subsurface obstructions.

If hidden utilities or unexpected conditions are encountered, additional charges may apply for labor, equipment, delays, repairs, or revised installation methods.

Repair or replacement of unmarked private utilities is the sole responsibility of the Client.

7. Permits & Approvals

Unless otherwise noted, Moontower will obtain standard sign permits required for fabrication and installation.
The Client is responsible for ongoing variance renewals, compliance requirements, HOA approvals, landlord approvals, and any documentation not explicitly included in the scope of work.

Permit delays may affect scheduling.

8. Change Orders

Any change requested by the Client must be documented through a written Change Order. Moontower may pause work until all Change Orders are approved and any associated costs are paid.

9. Delays

Moontower is not responsible for delays caused by:

  • Permitting offices or government agencies

  • Weather

  • Other contractors or trades on-site

  • Client delays in approvals, payments, artwork, or site readiness

  • Supply chain or shipping delays outside our control

Installation dates may be rescheduled at Moontower’s discretion to maintain safe and efficient operations.

10. Limited Warranty

1-Year Parts & Labor Warranty

Moontower warrants that signs we fabricate and install will be free from defects in materials and workmanship for one (1) year from installation. This includes:

  • LED modules

  • Power supplies

  • Internal wiring

  • Fabrication defects (welds, structure, housings)

  • Installation workmanship

  • Vinyl adhesion when applied to compatible surfaces

5-Year No-Fade Warranty (Paint & Vinyl)

Moontower warrants that paint finishes and vinyl graphics installed by Moontower will not noticeably fade, chalk, peel, or discolor for five (5) years under normal environmental conditions.

Warranty Exclusions

This warranty does not cover:

  • Electrical issues outside the sign (breakers, timers, photocells, building wiring)

  • Damage from storms, wind, hail, flooding, fire, or Acts of God

  • Vandalism, accidental impact, or misuse

  • Failures caused by incompatible paints, failing substrates, or improper surface preparation done by others

  • Pressure washing, chemicals, or environmental contaminants

  • Client modifications, repairs, or installation work performed by third parties

  • Components not supplied or installed by Moontower

Warranty is void if external electrical conditions cause component failure.

11. Design Ownership & Intellectual Property

All artwork, concepts, layouts, illustrations, design files, and digital assets created by Moontower remain the exclusive property of Moontower Signage & Branding, LLC, unless purchased separately in writing.
The Client may not reproduce, modify, distribute, or use Moontower’s designs for fabrication elsewhere without written permission.

12. Ownership of Goods

Moontower retains ownership of all materials, signage, and components until the project is paid in full.
If payment is not received, Moontower may remove installed signage or materials without liability.

13. Late Payments & Collections

Invoices not paid within terms accrue a 1.5% monthly finance charge (18% APR).
Delinquent accounts may be referred to a third-party agency, and the Client agrees to pay all associated collection fees, administrative fees, legal fees, and court costs.

14. Mechanic’s Lien Rights

Pursuant to Texas law, Moontower may file a Mechanic’s Lien against the property if payment is not made. The Client agrees to pay all costs associated with lien filing and enforcement.

15. Indemnification

The Client agrees to indemnify and hold Moontower harmless from claims, damages, or losses arising from:

  • Site conditions

  • Client-provided electrical work

  • Third-party contractors

  • Client negligence or misuse of signage

16. Force Majeure

Moontower is not liable for delays or damages caused by events beyond reasonable control, including weather, natural disasters, labor shortages, supply chain disruptions, equipment failures, or government restrictions.

17. Governing Law

These Terms & Conditions are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Travis County, Texas.

18. Entire Agreement

These Terms & Conditions, together with approved estimates, invoices, and Change Orders, constitute the entire agreement between Moontower and the Client and supersede all prior verbal or written agreements.
